These Terms of Use (“Terms”) are a legal agreement between you and StyleHaul, Inc. (“StyleHaul,” “we,” “us,” or “our”). They govern access to and use of stylehaul.net and all creator commerce tooling available through it (the “Platform”).

Please read these Terms before using the Platform. Using the Platform means you accept these Terms and our Privacy Policy, which is incorporated here by reference. If you don't agree, don't use the Platform.

By accessing the Platform, you confirm you're old enough to enter a binding contract with StyleHaul, Inc. and meet all eligibility requirements below. If you don't qualify, you may not use the Platform.

1. Agreement to Terms

Your access to and use of the Website is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, creators, brand partners, and others who access or use the Website. By accessing or using the Website you agree to be bound by these Terms. If you disagree with any part of the Terms you may not access the Website.

2. Changes to These Terms

We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately upon posting. We will update the “Last Revised” date at the top of this page when material changes are made and, where appropriate, notify you via the Studio or by email.

Your continued use of the Website following the posting of revised Terms means you accept and agree to the changes. You are expected to check this page periodically so you are aware of any changes, as they are binding on you.

3. Using the Platform

We reserve the right to withdraw, amend, or modify the Website and any service or material we provide, in our sole discretion and without notice. We will not be liable if, for any reason, all or any part of the Website is unavailable at any time or for any period. We may restrict access to some parts of the Website, or the entire Website, to certain users, including registered users, at any time.

You are responsible for:

• Making all arrangements necessary for you to have access to the Website.
• Ensuring that all persons who access the Website through your connection are aware of these Terms and comply with them.
• Maintaining the confidentiality of your account credentials and for all activities that occur under your account.
• Notifying us immediately of any unauthorized use of your account at support@stylehaul.net.

4. Intellectual Property Rights

The Website and its entire contents, features, and functionality — including but not limited to all information, software, text, displays, images, video, audio, AI-generated outputs, and the design, selection, and arrangement thereof — are owned by StyleHaul, Inc., its licensors, or other providers of such material, and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms permit you to use the Website for your personal or internal business purposes only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material from our Website, except:

• Your computer may temporarily store copies in RAM incidental to accessing and viewing those materials.
• You may store files automatically cached by your browser for display enhancement.
• You may print one copy of a reasonable number of pages for your own personal, non-commercial use and not for further reproduction, publication, or distribution.

You must not:

• Modify copies of any materials from this site.
• Use any illustrations, photographs, video or audio sequences, or any graphics separately from accompanying text.
• Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from this site.
• Access or use any part of the Website or services for commercial purposes not expressly permitted in these Terms.

5. Trademarks

The StyleHaul name, the “StyleHaul Studio” product name, the STYLEHAUL wordmark, and all related names, logos, product and service names, designs, and slogans are trademarks of StyleHaul, Inc. or its affiliates or licensors. You must not use such marks without the prior written permission of StyleHaul, Inc. All other names, logos, product and service names, designs, and slogans on this Website are the trademarks of their respective owners.

6. Prohibited Uses

You may use the Website only for lawful purposes and in accordance with these Terms. You agree not to use the Website:

• In any way that violates any applicable federal, state, local, or international law or regulation.
• To exploit, harm, or attempt to exploit or harm minors in any way.
• To send, upload, or distribute any material that does not comply with the Content Standards in Section 8.
• To transmit any advertising or promotional material without our prior written consent, including any "junk mail," "chain letter," or "spam."
• To impersonate or attempt to impersonate StyleHaul, Inc., a StyleHaul employee, another user, or any other person or entity.
• To engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Website, or which may harm StyleHaul or users of the Website.

Additionally, you agree not to:

• Use the Website in any manner that could disable, overburden, damage, or impair it.
• Use any robot, spider, scraper, or other automated means to access the Website for any purpose, including monitoring or copying any material.
• Use any device, software, or routine that interferes with the proper working of the Website.
• Introduce any viruses, trojan horses, worms, logic bombs, or other malicious or technologically harmful material.
• Attempt to gain unauthorized access to any part of the Website, the server on which the Website is stored, or any server, computer, or database connected to the Website.
• Attack the Website via a denial-of-service or distributed denial-of-service attack.
• Reverse engineer, decompile, or disassemble any software or AI systems used in connection with the Website.
• Use or attempt to use another user's account without authorization.

Violation of any of the above may result in immediate termination of your access to the Studio and, where warranted, referral to law enforcement authorities.

7. Content You Add

The Platform may include features that let you submit or share content (collectively, “User Contributions”) — profile data, affiliate links, campaign notes, and communications. All User Contributions must meet the Content Standards in Section 8.

Anything you add to the Platform is considered non-confidential with respect to StyleHaul, Inc.'s right to operate the Studio. By submitting User Contributions, you grant us and our affiliates a non-exclusive, royalty-free, worldwide, perpetual license to use, reproduce, modify, perform, display, and distribute that material solely to the extent needed to run the Platform and deliver services to you.

You represent and warrant that:

• You own or control all rights in and to your User Contributions and have the right to grant the license above.
• All of your User Contributions do and will comply with these Terms.
• Your User Contributions do not violate any third-party rights, including intellectual property or privacy rights.

8. Content Standards

These content standards apply to all User Contributions and your use of any interactive features. Contributions must not:

• Contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable.
• Promote sexually explicit material or violence.
• Promote discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.
• Infringe any patent, trademark, trade secret, copyright, or other intellectual property or other rights of any person.
• Violate the legal rights of others or contain any material that could give rise to civil or criminal liability.
• Be likely to deceive any person or contain false, misleading, or inaccurate information.
• Impersonate any person, or misrepresent your identity or affiliation with any person or organization.
• Involve commercial activities or sales not permitted by StyleHaul, Inc., such as contests, sweepstakes, or advertising.

9. Creator-Specific Terms

9.1 Application and Eligibility

Access to the Studio as a creator is by application and invitation only. We reserve the right to approve or decline any application in our sole discretion. Approved creators must maintain accurate and up-to-date profile and channel information at all times.

9.2 Connected Accounts

To use certain Studio features, you must connect one or more social media accounts. By connecting an account you authorize StyleHaul, Inc. to access and use data from that account to the extent permitted by the relevant platform's terms and the OAuth scopes you grant. You may revoke connected account access at any time through your account settings or directly through the relevant platform.

9.3 Affiliate Links and Attribution

Trackable affiliate links generated through the Studio are governed by the terms of the applicable brand partnership. You are responsible for disclosing affiliate relationships to your audience in compliance with applicable law, including FTC guidelines. StyleHaul, Inc. is not liable for any failure to disclose on your part.

9.4 Earnings and Payouts

Earnings tracked in the Studio are subject to confirmation and reconciliation with brand partners. StyleHaul, Inc. does not guarantee any minimum earnings. Payout terms, minimum thresholds, and processing timelines are set forth in the applicable creator agreement or campaign brief. We reserve the right to withhold or reverse payments in cases of suspected fraud, chargebacks, or policy violations.

9.5 Account Suspension and Termination

We reserve the right to suspend or terminate your creator account at any time for violation of these Terms, inactivity, or any reason we deem appropriate in our sole discretion. Upon termination, your right to access the Studio ceases immediately. Pending confirmed earnings at the time of termination will be processed in accordance with the applicable payment terms, except where the account is suspended due to fraud or policy violation.

10. Brand & Agency Terms

Brand partners and agencies that access the Studio for campaign management purposes agree that: (a) they are authorized to enter into these Terms on behalf of their organization; (b) any data they upload relating to third parties has been collected lawfully and with appropriate consents; (c) they are solely responsible for the accuracy of campaign briefs and materials they provide; and (d) payment obligations are governed by the applicable commercial agreement between the brand and StyleHaul, Inc.

11. Platform Data & Analytics

Analytics, match scores, earnings estimates, and any other data surfaces on the Platform are provided for informational purposes only — they are not guarantees of future performance. We don't warrant the accuracy, completeness, or utility of any data shown. You use Platform data to inform your own decisions, at your own risk. StyleHaul disclaims all liability arising from reliance on any such information.

12. Third-Party Links and Services

The Website may contain links to third-party websites, social media platforms, and services that are not owned or controlled by StyleHaul, Inc. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. We encourage you to read the terms and privacy policies of each third-party service you visit or connect to through the Studio.

13. Linking to the Website

You may link to our homepage provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it. You must not establish a link in a way that suggests any form of association, approval, or endorsement on our part without our express written consent.

You must not:

• Cause the Website or portions of it to be displayed by framing, deep linking, or in-line linking on any other site.
• Link to any part of the Website other than the homepage without prior written permission.
• Take any action with respect to materials on this Website that is inconsistent with any other provision of these Terms.

14. What We Don't Guarantee

Your use of the Website, its content, and any services or items obtained through the Website is at your own risk. The Website, its content, and any services or items obtained through the Website are provided on an “as is” and “as available” basis, without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

Neither StyleHaul, Inc. nor any person associated with StyleHaul, Inc. makes any warranty or representation with respect to the completeness, security, reliability, quality, accuracy, or availability of the Website. We do not warrant that the Website will be uninterrupted or error-free, that defects will be corrected, or that the Website or the server that makes it available are free of viruses or other harmful components.

You are responsible for implementing sufficient procedures and checkpoints to satisfy your particular requirements for anti-virus protection and accuracy of data input and output.

15. Limitation of Liability

To the fullest extent provided by law, in no event will StyleHaul, Inc., its affiliates, or their licensors, service providers, employees, agents, officers, or directors be liable for damages of any kind, under any legal theory, arising out of or in connection with your use, or inability to use, the Website, any websites linked to it, any content on the Website or such other websites, or any services or items obtained through the Website, including any direct, indirect, special, incidental, consequential, or punitive damages, including but not limited to personal injury, loss of revenue, loss of profits, loss of business or anticipated savings, loss of use, loss of goodwill, and loss of data, whether caused by tort (including negligence), breach of contract, or otherwise, even if foreseeable.

The foregoing does not affect any liability that cannot be excluded or limited under applicable law.

16. Indemnification

You agree to defend, indemnify, and hold harmless StyleHaul, Inc., its affiliates, licensors, and service providers, and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Website, including, but not limited to, your User Contributions, any use of the Website's content and services other than as expressly authorized in these Terms, or your use of any information obtained from the Website.

17. Governing Law and Jurisdiction

All matters relating to the Website and these Terms, and any dispute or claim arising therefrom or related thereto (including non-contractual disputes or claims), shall be governed by and construed in accordance with the internal laws of the State of California without giving effect to any choice or conflict of law provision or rule.

Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Website shall be instituted exclusively in the federal courts of the United States or the courts of the State of California, in each case located in the City and County of Los Angeles. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.

18. Time Limit on Claims

Any cause of action or claim you may have arising out of or relating to these Terms or the Website must be commenced within one (1) year after the cause of action accrues; otherwise, such cause of action or claim is permanently barred.

19. Waiver and Severability

No waiver by StyleHaul, Inc. of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Any failure of StyleHaul, Inc. to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

20. Entire Agreement

These Terms and our Privacy Policy constitute the sole and entire agreement between you and StyleHaul, Inc. with respect to the Website and Studio, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to the Website.
